The command line ffmpeg is capable of most video editing and conversion, there are many options and functions, however the conversion is for the most part pretty easy.

One example of the conversion function can be found at http://andrebluehs.net/blog/converting-avi-to-mp4-with-ffmpeg/

ffmpeg is the program that you need. If your not comfortable with the command line, WinFF is said to work well, though, I've never used it. It is said that "audacious" and "audacity" also use the ffmpeg backend.
